Terms of Service

Overview

The following are the terms of an agreement between you and Novaude, Inc. By accessing or using novaude.com, app.novaude.com, and any related Novaude websites, applications, and services (collectively, the "Services" or "Novaude Sites"), you acknowledge that you have read, understand, and agree to be bound by these Terms of Service ("Terms") and to comply with all applicable laws and regulations, including export and re-export control laws and regulations. If you do not agree to these Terms, please do not use the Services.

Novaude may, without notice to you, at any time revise these Terms and any other information contained on the Novaude Sites. Novaude may also make improvements or changes in the products, services, or programs described on the Novaude Sites at any time without notice. Material changes will be posted on this page with an updated "Last updated" date; continued use after changes constitutes acceptance where permitted by law.

Eligibility

You must be at least 18 years old and authorized to act on behalf of a business to use Novaude. You represent that the information you provide is accurate. The Services are intended for business owners and authorized business representatives, not consumers acting in a personal capacity unrelated to a business.

General

The Novaude Sites contain proprietary notices and copyright information, the terms of which must be observed and followed.

Novaude grants you a non-exclusive, non-transferable, limited permission to access and display the web pages within the Novaude Sites as a customer or potential customer of Novaude, provided you comply with these Terms and all copyright, trademark, and other proprietary notices remain intact. You may only use a crawler to crawl a Novaude Site as permitted by the site's robots.txt protocol; Novaude may block any crawlers in its sole discretion. The use authorized under this agreement is non-commercial in nature (for example, you may not sell the content you access on or through the Novaude Sites). All other use of the Novaude Sites is prohibited.

Except for the limited permission in the preceding paragraph, Novaude does not grant you any express or implied rights or licenses under any patents, trademarks, copyrights, or other proprietary or intellectual property rights. You may not mirror any content from a Novaude Site on another website or in any other media. Any software and other materials made available for downloading, access, or other use from a Novaude Site with their own license terms will be governed by such terms, conditions, and notices. Your failure to comply with such terms or any of the terms on a Novaude Site will result in automatic termination of any rights granted to you, without prior notice, and you must immediately destroy all copies of downloaded materials in your possession, custody, or control.

Waitlist (Pre-Launch)

Joining the waitlist at /join does not guarantee access, pricing, or launch timing. Waitlist placement is subject to metro market availability and Novaude's launch schedule. We may remove waitlist entries that violate these Terms or appear fraudulent.

Accounts and Authentication

You are responsible for safeguarding your account credentials. You may not impersonate another user, use another user's Novaude account, permit someone else to use your account, attempt to capture or guess other users' passwords, forge headers or otherwise manipulate identifiers for the purpose of disguising the origin of any content you transmit, or share account access with unauthorized parties. Notify us promptly at admin@novaude.com if you suspect unauthorized access.

Free Readiness Snapshot and Trial (Post-Cutover)

After your market launches, Novaude offers a free Readiness Snapshot and a 14-day guided trial of the platform. A valid payment method is required at trial start. You will not be charged until the trial ends unless you cancel before the trial period expires. Counsel must review trial and billing disclosures before public cutover.

Subscriptions and Pricing

Paid subscriptions are billed monthly or annually through Braintree at a flat rate of $99/month (marketplace opt-in included). Early waitlist members in positions #1–150 per metro market may choose $29/month, $199/year, or a $299 lifetime one-time plan. Standard annual pricing is $899/year. Sponsored rates are $75/month or $599/year when applicable.

Discounts (sponsored, annual, promotional) do not stack; the best eligible discount applies. Sponsored discounts are funded by Novaude as an acquisition benefit, not charged to your sponsor. You may cancel your subscription per in-product billing settings. We may suspend or terminate access for violation of these Terms or non-payment.

Marketplace and Connections

Novaude may introduce you to B2B service providers and lenders when your market and readiness level support marketplace features. Providers pay connection fees when you accept a connection request; you are not charged connection fees as an SMB subscriber. Marketplace availability varies by metro market launch state. Novaude is a platform that facilitates introductions — we are not a party to agreements between you and providers, and we do not guarantee provider performance, funding outcomes, or specific business results.

Rules of Conduct

Your use of the Novaude Sites is subject to all applicable local, state, national, and international laws and regulations, and you agree not to violate such laws and regulations. Any attempt by any person to deliberately damage any Novaude Site is a violation of criminal and civil laws. Novaude reserves the right to seek damages from any such person to the fullest extent permitted by law.

You agree not to:

• Post or transmit through any Novaude Site any material or content that violates or infringes the rights of others, solicits or promotes illegal substances or activities, is unlawful, threatening, abusive, harassing, defamatory, libelous, derogatory, invasive of privacy or publicity rights, vulgar, obscene, bigoted or hateful, profane, scandalous, pornographic, indecent, or otherwise objectionable, gives rise to civil or criminal liability, or otherwise violates any applicable law
• Misrepresent your business, revenue, readiness data, or relationship with Novaude
• Conduct fraudulent business operations or practices, or promote or conceal unlawful conduct
• Engage in any activity on a Novaude Site that restricts or inhibits any other user from using or enjoying the Services by any means, including hacking, cracking, spoofing, or defacing any portion of a Novaude Site
• Use a Novaude Site to stalk or harass another person or entity
• Post or transmit advertising or commercial solicitations, promotional materials relating to websites or online services competitive with Novaude, software or materials that contain viruses, worms, time bombs, Trojan horses, or other harmful or disruptive components, political campaign materials, chain letters, mass mailings, or spam
• Use any robot, spider, site search or retrieval application, or other manual or automatic device or process to retrieve, index, data mine, scrape, reverse engineer, or in any way reproduce or circumvent the navigational structure or presentation of a Novaude Site or its contents, except as permitted by robots.txt
• Harvest or collect information about any Novaude Site visitor without their express written consent
• Interfere with the operation, security, or integrity of the Services

Intellectual Property

Novaude owns the platform, BFRI methodology, branding, software, and other materials on the Novaude Sites. You retain ownership of your business data. You grant Novaude a license to use your data to operate the Services, calculate readiness scores (including BFRI), and deliver features you request.

User Submissions and Feedback

Novaude does not want to receive confidential or proprietary information from you through any Novaude Site unless we have agreed otherwise in writing (for example, under a separate agreement). Please note that any unsolicited information or material sent to Novaude will be deemed not to be confidential. By sending Novaude any unsolicited information or material, you grant Novaude an unrestricted, irrevocable license to copy, reproduce, publish, upload, post, transmit, distribute, publicly display, perform, modify, create derivative works from, and otherwise freely use those materials or information. You also agree that Novaude is free to use any ideas, concepts, know-how, or techniques that you send us for any purpose. However, we will not release your name or otherwise publicize the fact that you submitted materials or other information to us unless: (a) we obtain your permission to use your name; (b) we first notify you that the materials or other information you submit to a particular part of a Novaude Site will be published or otherwise used with your name on it; or (c) we are required to do so by law.

Personally identifiable information that you submit to Novaude for the purpose of receiving products or services will be handled in accordance with our Privacy Policy.

Accuracy of Information

From time to time, the Novaude Sites may contain technical inaccuracies or typographical errors, and we do not warrant the accuracy of any posted information. Please confirm you are using the most up-to-date pages on the Novaude Sites and confirm the accuracy and completeness of information before using it to make decisions relating to services, products, or other matters described on the Novaude Sites.

Novaude provides readiness tools, assessments, and marketplace introductions — not legal, tax, accounting, lending, or investment advice. BFRI scores and related readiness metrics reflect information you provide and Novaude's proprietary methodology; they do not guarantee funding approval, credit decisions, provider performance, or specific business outcomes. You are solely responsible for decisions you make based on information on the Novaude Sites or through the Services.

If any term in these Terms is found by competent judicial authority to be unenforceable in any respect, the validity of the remainder of these Terms will be unaffected, provided that such unenforceability does not materially affect the parties' rights under these Terms.

Global Availability and Metro Markets

Information Novaude publishes on the Internet may contain references to products, programs, and services — including marketplace features, metro market launches, and pricing — that are not announced or available in your country or region. Such references do not imply that Novaude intends to announce or make available such products, programs, or services in your location. Marketplace and subscription availability may vary by metro market and launch phase. Contact admin@novaude.com for information regarding what may be available to you.

Third-Party Sites and Business Relationships

The Novaude Sites may provide links or references to non-Novaude websites and resources, including provider websites, payment processors, authentication services, and other third-party tools. Novaude makes no representations, warranties, or other commitments or endorsements whatsoever about any non-Novaude website or third-party resource that may be referenced, accessible from, or linked to any Novaude Site. In addition, Novaude is not a party to or responsible for any transactions you may enter into with third parties, even if you learn of such parties (or use a link to such parties) from a Novaude Site — including agreements with B2B providers you meet through the marketplace.

When you access a non-Novaude website, even one that may contain the Novaude logo or branding, please understand that it is independent from Novaude and that Novaude does not control the content on that website. It is up to you to take precautions to protect yourself from viruses, worms, Trojan horses, and other potentially destructive programs, and to protect your information.

Linking to Novaude Sites

Novaude consents only to links to a Novaude Site in which the link and the pages that are activated by the link do not: (a) create frames around any page on the site or use other techniques that alter in any way the visual presentation or appearance of any content within the site; (b) misrepresent your relationship with Novaude; (c) imply that Novaude approves or endorses you, your website, or your service or product offerings; or (d) present false or misleading impressions about Novaude or otherwise damage the goodwill associated with the Novaude name or trademarks. As a further condition to being permitted to link to a Novaude Site, you agree that Novaude may at any time, in its sole discretion, terminate permission to link to such site. In such event, you agree to immediately remove all links to such site and to cease any related use of Novaude trademarks.

Disclaimer of Warranty

USE OF THE NOVAUDE SITES AND SERVICES IS AT YOUR SOLE RISK. ALL MATERIALS, INFORMATION, PRODUCTS, SOFTWARE, PROGRAMS, AND SERVICES ARE PROVIDED "AS IS," WITH NO WARRANTIES OR GUARANTEES WHATSOEVER. NOVAUDE EXPRESSLY DISCLAIMS TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, GUARANTEES, OR REPRESENTATIONS, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY AND INTELLECTUAL PROPERTY RIGHTS. WITHOUT LIMITATION, NOVAUDE MAKES NO WARRANTY OR GUARANTEE THAT ANY NOVAUDE SITE OR SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

YOU UNDERSTAND AND AGREE THAT IF YOU DOWNLOAD OR OTHERWISE OBTAIN MATERIALS, INFORMATION, PRODUCTS, SOFTWARE, PROGRAMS, OR SERVICES FROM A NOVAUDE SITE, YOU DO SO AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES THAT MAY RESULT, INCLUDING LOSS OF DATA OR DAMAGE TO YOUR COMPUTER SYSTEM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NOVAUDE BE LIABLE TO ANY PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY TYPE WHATSOEVER RELATED TO OR ARISING FROM A NOVAUDE SITE OR ANY USE OF A NOVAUDE SITE OR THE SERVICES, OR OF ANY SITE OR RESOURCE LINKED TO, REFERENCED, OR ACCESSED THROUGH A NOVAUDE SITE, OR FOR THE USE OR DOWNLOADING OF, OR ACCESS TO, ANY MATERIALS, INFORMATION, PRODUCTS, OR SERVICES, INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOST SAVINGS, LOSS OF PROGRAMS OR OTHER DATA, OR LOSS OF GOODWILL, EVEN IF NOVAUDE IS EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS EXCLUSION AND WAIVER OF LIABILITY APPLIES TO ALL CAUSES OF ACTION, WHETHER BASED ON CONTRACT, WARRANTY, TORT, OR ANY OTHER LEGAL THEORIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVAUDE'S AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID NOVAUDE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Counsel action required: Confirm limitation-of-liability and disclaimer language for Arizona governing law and B2B SaaS context.

Termination

You may cancel your subscription per in-product billing settings. We may suspend or terminate access for violation of these Terms, non-payment, or conduct that we reasonably believe harms Novaude, other users, or third parties. Provisions that by nature should survive termination (including disclaimers, limitation of liability, intellectual property, and governing law) will survive.

Governing Law

Counsel action required: Specify governing law and dispute resolution (for example, State of Arizona, binding arbitration vs. courts). Placeholder pending counsel review.

Changes to These Terms

We may modify these Terms. We will post updated Terms on this page and update the "Last updated" date. Continued use after changes constitutes acceptance where permitted by law.
